This Fair Usage Policy (the "Policy" or "FUP") governs the use of the services provided by Consvert ("Consvert") under the Master Services Agreement (the "MSA"), the Ursula Platform Terms (the "Ursula PT"), the Klauss Platform Terms (the "Klauss PT", and together with the Ursula PT, the "Platform Terms"), and any applicable Order Form (the “Order Form”).
This Policy is incorporated by reference into the Platform Terms and the MSA.
Capitalised terms not defined in this Policy have the meanings given in the MSA, the Platform Terms, or the relevant Order Form.

This Policy sets out the operational standards, usage expectations, and enforcement framework that apply to the Client's use of:
the Ursula AI SDR Service (Ursula PT);
the Mailbox Infrastructure Service (Ursula PT); and
the Klauss AI Compliance Assistant (the Klauss PT).
The purpose of the Policy is to ensure that all Clients receive a reliable, deliverable, and secure service. Excessive use, abusive use, or use that threatens the integrity of the Services (including the upstream platforms on which they depend) is managed under this Policy.

(d) No circumvention. The Client shall not attempt to circumvent any limit, throttle, control, or guardrail of the Services, including by creating multiple accounts, using automated tools to bypass rate limits, or fragmenting traffic across accounts to evade detection.
(e) Cooperation. The Client shall cooperate with Consvert's reasonable requests for information, documentation, or remediation in connection with this Policy.

(c repeated sending to recipients who have unsubscribed, complained, or hard-bounced;

(e) any sending pattern flagged as abusive by an Upstream Provider.

The Client shall not exceed per-mailbox daily sending volumes that are consistent with industry-recognised levels for cold-outbound prospecting. Consvert provides specific per-Service guidance from time to time; in the absence of specific guidance, the Client shall apply prudent industry levels as informed by the Upstream Provider's deliverability guidance.

Each new mailbox or domain provisioned through the Service shall be warmed up for a reasonable period before being used at intended sending volume, in accordance with industry best practices and with the warmup service made available for free by Consvert. The Client shall not bypass or accelerate warmup in a manner that materially compromises sender reputation.

The Client shall not modify DNS records in a manner that disrupts authentication, except in coordination with Consvert. (a) promptly notify Consvert if the Client becomes aware of the listing;
(b) cooperate with Consvert's reasonable remediation steps (including pausing the affected sending stream, content review, and submission of delisting requests); and
(c refrain from substituting alternative domains or IPs to evade the listing without first attempting remediation.

Consvert may, in its reasonable judgment, apply per-hour or per-minute rate limits to protect the Service and shall communicate any such limit to the Client. The Client shall not employ automated scripts, bots, or agents to submit queries to the Service.

(c attempt to use the Service as a general-purpose AI assistant unrelated to the Client's compliance and operational matters; or
(d) submit queries that are prohibited by the Klauss PT or by Upstream Providers’ Usage Policy.

(b) systematically extract, scrape, or harvest Outputs at scale;
(c re-publish Outputs as a service to third parties (subject to the Klauss PT's prohibition on use beyond the Client's organisation); or
(d) use Outputs as a substitute for advice from a qualified professional in violation of Klauss PT Section 6.

(a) Notification. Consvert may notify the Client of conduct that, in Consvert's reasonable judgment, deviates from this Policy and may request remediation. Notification is not a precondition to further action where the conduct is severe, where notification is impracticable, or where notification is precluded by the Platform Terms (e.g., immediate suspension grounds in the PTs).
(b) Throttle or limit. Consvert may apply a throttle, rate limit, volume cap, or other operational restriction to the Client's use of the Service, with a view to protecting the Service and other Clients while remediation is in progress.
(c Suspension. Consvert may suspend the Client's access to the Service in whole or in part, in accordance with the suspension provisions of the Platform Terms (Ursula PT Section 6; Klauss PT Section 12).
(d) Termination. For repeat or severe breaches of this Policy, Consvert may terminate the relevant Order Form and any associated Service in accordance with the MSA and the Platform Terms.

7. Updates to this Policy
Consvert may update this Policy from time to time. Material changes that adversely affect the Client take effect sixty (60) days after notice; non-material changes (including changes to align with Upstream Provider guidance, security updates, or clarifications) take effect on posting or as otherwise notified. The Client's continued use of the Services after the effective date of an update constitutes acceptance of the updated Policy. Where a material adverse change cannot reasonably be accommodated, the Client may terminate the affected Order Form without penalty by notice given before the effective date, in accordance with the Platform Terms.
